1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a binding legal agreement between RR Cyberstanc LLP and Cyberstanc Corp. (“Cyberstanc”, “we”, “us”, or “our”) and the entity or individual (“Client”, “User”, or “you”) accessing our websites, corporate portals, and cybersecurity platforms (including Vortex SOC, Scrutiny EDR, Scrutiny DLP, and Vortex SEG).

By browsing our corporate website, registering for services, or installing our endpoint agents, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you are not permitted to use our services or install our software.

2. Product License & Use

Subject to compliance with these Terms and any agreed-upon Software License Agreements (SLAs) or Purchase Orders (POs), CyberStanc grants you a restricted, non-exclusive, non-transferable, revocable license to:

• Deploy our endpoint agents (Scrutiny EDR/DLP) on the designated number of servers and endpoints.
• Access the SaaS portals or hosted analytics endpoints within India.
• Utilize user manuals and documentation solely for internal corporate protection.

3. Client Obligations

When using our security platforms, you agree to:

• Provide accurate, complete, and updated registration details.
• Ensure all client users are aware of their privacy guidelines and authorized to execute DLP/EDR monitoring policies.
• Verify that the processing of employee or system logs through the platform does not violate internal union rules, employment contracts, or relevant privacy expectations.
• Promptly notify CyberStanc of any suspected breach or compromise of administrator credentials.

4. Fees & Payments

Fees for our cybersecurity solutions are outlined in the respective commercial proposals, partner agreements, or purchase orders:

• Taxes: All payments are subject to local Goods and Services Tax (GST) in India at standard rates, unless otherwise specified.
• Late Payments: Unpaid invoices beyond 30 days of the due date may lead to immediate suspension of cloud portal access and threat signature feed updates.

5. Intellectual Property

All rights, title, and interest in and to our services, including software binaries, source code, and dashboard layouts, are and will remain the exclusive property of RR Cyberstanc LLP and Cyberstanc Corp.

Our logos, trade names, and product names (such as “Scrutiny EDR”, “Scrutiny DLP”, and “Vortex SOC”) are registered trademarks in India and may not be used without prior written authorization.

6. Liability & Warranties

Disclaimer of Warranties: While CyberStanc platforms are designed to detect, analyze, and mitigate cyber threats, no security software can guarantee 100% detection of advanced persistent threats (APTs) or zero-day exploits. The platforms are provided “as is” without warranties of merchantability or fitness for a specific security standard.

Limitation of Liability: In no event shall CyberStanc be liable for any indirect, incidental, punitive, or consequential damages (including loss of business profits, data leakage from misconfigured client policies, or network downtime) exceeding the aggregate fee paid by the Client to CyberStanc in the twelve (12) months preceding the incident.

7. Governing Law & Jurisdiction

For Clients accessing or using our services in or from the United States or internationally outside of India, these Terms and all disputes, claims, or controversies arising out of them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without reference to its conflict of law principles. Any legal action or proceeding arising under these Terms in the United States will be brought exclusively in the federal or state courts located in the State of Delaware.

For Clients accessing or using our services in or from India, these Terms and all disputes, claims, or controversies arising out of them shall be governed by and construed in accordance with the laws of the Republic of India, without reference to its conflict of law principles. Any legal action or proceeding arising under these Terms in India will be brought exclusively in the competent courts located in New Delhi, India.

8. Modifications & Contact

We reserve the right to modify these Terms at any time to reflect updates in cybersecurity regulation (e.g., CERT-In guidelines, DPDP Rules) or changes in our service models. We will notify you of material changes via email or system dashboards. Continuing to use the platform after modifications constitutes acceptance of the new Terms.
